MYOB Acumatica App Partnership Program Terms

Terms and conditions for MYOB Acumatica's Partnership Program.

Effective: 23 October 2026

These Program Terms are between MYOB and each person or business that participates in the MYOB Acumatica App Partnership Program as an App Partner. If you accept these Terms in Australia, the MYOB entity you’re contracting with is MYOB Australia Pty Ltd. If you accept these Terms in New Zealand, it’s MYOB NZ Limited.

These Terms govern your participation as an App Partner in the MYOB Acumatica App Partnership Program (Program). By applying to join the Program, or by continuing to take part in it, you agree to be bound by these Terms, including any changes we make under clause 15 (Changes to these Terms). If you don’t agree to these Terms, you can’t take part in the Program.

Capitalised terms used in these Terms are defined in clause 21 (Glossary and interpretation).

1. About the Program

1.1 The Program is designed for independent software vendors (App Partners) who build software (App Partner Solutions) that integrate with MYOB Acumatica, an Enterprise Resource Planning (ERP) platfrom used by mid-market businesses. It gives you technical access to build and support your App Partner Solution, and go-to-market support to help grow your Shared Customers.

1.2 The Program has three ongoing App Partnership Tiers – Starter, Growth and Strategic – and a Support Only Plan for App Partners with existing shared Clients who don’t want to take part in the full Program. Each option carries different Partnership Benefits, obligations and Fees, which generally increase with your number of Shared Customers.

1.3 The App Partnership Tiers, the Partnership Benefits attached to each tier, and the Fees that apply, are set out in our current Program Guide or otherwise quoted to you (for example, where your Fees depend on your number of Shared Customers, in an order form or quote). The Program Guide doesn’t form part of these Terms. We may update the Program Guide, and add, change, remove or withdraw an App Partnership Tier, a Partnership Benefit or a Fee, at any time. If we change your Fees, or make a change to your Partnership Benefits that materially affects your App Partnership Tier, we’ll give you notice in accordance with clause 15 (Changes to these Terms).

2. Becoming an App Partner

2.1 You become an App Partner once we accept your application. We may accept or decline any application at our discretion.

2.2 Your participation in the Program starts on the date we accept your application and continues for an initial term of 12 months (Initial Term). After the Initial Term, it automatically renews for successive 12-month periods (each a Renewal Term), unless it ends earlier under clause 14 (Ending your participation). We refer to the Initial Term and each Renewal Term as a Partnership Year.

2.3 Your App Partnership Tier determines your Partnership Benefits, obligations and Fees, as set out in the Program Guide. You can move up to a higher App Partnership Tier at any time – this takes effect immediately for the rest of your current Partnership Year. You can only move down to a lower App Partnership Tier as part of your renewal under clause 2.2, effective from the start of the next Partnership Year. If we approve a change in tier, the Partnership Benefits, obligations and Fees for your new tier will apply from the date we confirm the change.

3. Certification

3.1 We may require you to achieve, and keep, Certification for your App Partner Solution before you can access certain Partnership Benefits, or as a condition of a particular App Partnership Tier.

3.2 To achieve Certification, your App Partner Solution generally needs to be technically validated by us - Technical validation confirms that your App Partner Solution meets our technical standards – it doesn’t validate the correctness, quality or relevance of your App Partner Solution’s functionality. You’re solely responsible for the quality assurance and performance of your App Partner Solution.

3.3 We may approve, decline or withdraw Certification at our discretion. If you have questions about Certification, contact us at myobacumaticapps@myob.com .

4. Your obligations

4.1 As an App Partner, you must:

(a) meet, and continue to meet, the Certification requirements that apply to your App Partnership Tier or App Partner Solution;

(b) make sure your App Partner Solution is, and remains, compatible with the Platform as it changes over time;

(c) maintain your own legally binding terms of use and privacy policy with your Clients, which clearly explain your App Partner Solution and how you collect and handle their data;

(d) comply with all applicable Laws, particularly those governing how you collect, use and disclose personal information through your App Partner Solution;

(e) get a Client’s explicit, informed consent before using that Client’s data to train or fine-tune any artificial intelligence or machine learning model, and otherwise comply with any AI use requirements we notify to you from time to time;

(f) tell us immediately if your App Partner Solution provides, or will provide, a financial service (as defined under applicable Laws), so we can assess whether any related requirements or restrictions apply;

(g) act in a way that protects our brand and reputation, and that of the Platform, and doesn’t damage either;

(h) not cause any damage or disruption to our production environment;

(i) comply with any technical standards, support processes and instructions that we give you from time to time;

(j) positively contribute to the Program-related activities that are available to your App Partnership Tier;

(k) respond promptly to reasonable requests for information or correspondence from us or our Business Partners;

(l) resolve, within 14 days, any complaint we raise with you about your App Partner Solution, and take any reasonable action we ask to fix a justified complaint, at your own cost;

(m) regularly and accurately report to us the number of your Shared Customers, so we can confirm that your App Partnership Tier and Fees are correct, and give us reasonable evidence supporting that number if we ask for it; and

(n) make sure everyone who works on your App Partner Solution for you (including employees, contractors and agents) complies with these Terms.

4.2 If we reasonably believe you’re not maintaining the standard of skill, knowledge or performance required for your Certification or App Partnership Tier, we’ll notify you and give you a reasonable opportunity to fix the issue. If you don’t fix it within 30 days of our notice, we may move you to a different App Partnership Tier or remove you from the Program under clause 14 (Ending your participation).

4.3 If your App Partner Solution breaches these Terms (including clause 4.1(c), (i) or (j)), we may require you to change it, or remove it from our production environment, until the breach is fixed.

5. Our commitments and Program restrictions

5.1 While you’re an App Partner in good standing, we will provide the Partnership Benefits that apply to your App Partnership Tier (as set out in the Program Guide) and:

(a) give you access to a development version of the Platform – online, local, or both, depending on your App Partnership Tier – that reflects current upgrades and changes;

(b) use reasonable efforts to make sure the Platform operates in line with its published specifications;

(c) give you relevant information about new Platform versions or updates, including through our developer resources and the MYOB Community forum;

(d) let you use our trademarks and branding to market your App Partner Solution, provided you comply with clause 10 (Intellectual property) and our brand guidelines; and

(e) provide Clients with information about you and your App Partner Solution where relevant, consistent with your App Partnership Tier.

6. Development and trial use of the Platform

6.1 Any development or trial version of the Platform that we give you under these Terms:

(a) is for trial purposes only, and solely for developing and supporting your App Partner Solution;

(b) is not for resale, and mustn’t be sold, given away, transferred or otherwise disposed of to anyone else;

(c) remains our property; and

(d) is subject to the EULA.

7. Program restrictions

7.1 You must not use the Platform to build a App Partner Solution that works in substantially the same way as a product or solution we sell, license or distribute, including MYOB Essentials, MYOB AccountRight, MYOB Acumatica or MYOB EXO.

7.2 If your App Partner Solution provides a financial service, our arrangements with third parties may limit our ability to actively promote you to Clients and Business Partners.

7.3 If your App Partner Solution competes with a product or service that we (or a partner of ours) offer, we can withhold any endorsement, promotion or support you’d otherwise get as an App Partner.

7.4 Your participation in the Program doesn’t stop us from developing or offering a product similar to, or competing with, your App Partner Solution, and we keep all our rights to do so.

8. Changes to the Platform

8.1 We can, at any time and without liability, decide what makes up the Platform (including its features, documentation and related materials), discontinue or change the Platform, or change the support we provide for it.

8.2 If a change under clause 8.1 will materially affect or disrupt your participation in the Program, we’ll give you notice under clause 15 (Changes to these Terms).

9. Fees and payment

9.1 You must pay the Fees that apply to your App Partnership Tier, in full and by the due date.

9.2 Fees are set out in the Program Guide, or otherwise quoted or provided to you (for example, in an order form where your Fees may depend on your number of Shared Customers), and are invoiced and payable monthly in advance for each Partnership Year.

9.3 Fees are non-refundable and non-transferable. Regardless of how often we invoice you, you’re committing to pay the Fees for the whole of each Partnership Year in which you take part in the Program.

9.4 We can change your Fees by giving you written notice under clause 15 (Changes to these Terms).

9.5 If a Fee payment fails or isn’t received by its due date, we’ll notify you and give you 7 days to fix the failed payment. If we don’t receive payment within that time, we may (without limiting our other rights):

(a) suspend your access to the Platform and your Partnership Benefits until we receive payment; and/or

(b) remove you from the Program under clause 14 (Ending your participation), without affecting our right to recover any Fees you owe for the rest of the current Partnership Year.

9.6 If you under-report the number of your Shared Customers under clause 4.1(m), we may charge you, and you must pay, the additional Fees that would have applied had you reported correctly, for the period of the under-reporting.

10. Intellectual property

10.1 We own all rights (including intellectual property rights) in material we develop before or during your participation in the Program.

10.2 You may use our trademarks, branding and your App Partnership Tier designation to promote your participation in the Program, provided you:

(a) get our approval before publishing our trademarks or branding (we won’t unreasonably withhold this approval);

(b) don’t use our trademarks or branding as part of your own product name, service name, URL, or as part of another logo; and

(c) follow our brand guidelines and any other directions we give you from time to time.

10.3 You must tell us immediately, in writing, if you become aware of: (a) an infringement of our intellectual property or other ownership rights; or (b) a claim that our Platform, trademarks or logos infringe someone else’s rights.

10.4 You let us use your trademarks and branding solely to promote your App Partner Solution as part of the Program, at our discretion. Nothing in these Terms gives us any rights in your trademarks or other intellectual property.

11. Confidentiality

11.1 During your participation in the Program, and for 5 years afterwards, neither you nor we may disclose the other’s confidential information to anyone else, other than information that’s already publicly available.

12. Liability and indemnity

12.1 You indemnify us against loss or claims arising from:

(a) your breach of these Terms;

(b) any negligent or wilful act or omission by you as an App Partner; or

(c) your App Partner Solution, or your dealings with your Clients or distributors, including any actual or alleged infringement of a third party’s intellectual property rights by you or your App Partner Solution.

12.2 If we’ve caused or contributed to a loss or claim under clause 12.1, your liability is limited to the part of the loss or claim that’s directly caused by your conduct. Despite clause 12.1, your total liability to us under that clause in respect of any Partnership Year is capped at an amount equal to two times the Fees paid or payable by you in that Partnership Year, except where the loss or claim arises from your fraud, wilful misconduct, or an actual or alleged infringement of our intellectual property rights, in which case this cap doesn't apply.

12.3 Neither party is liable to the other for special, indirect or consequential loss (including loss of profits) arising from these Terms.

13. Your relationship with us

13.1 Nothing in these Terms creates an employment, agency, joint venture or partnership between you and us. Other than the specific rights set out in these Terms, your participation in the Program doesn’t give you any other legal rights against us.

14. Ending your participation

14.1 You can end your participation in the Program for convenience by giving us at least 60 days’ written notice before the end of your current Partnership Year. The ending takes effect at the end of that Partnership Year. You can’t end your participation for convenience at any other time.

14.2 You can end your participation immediately by written notice if we breach these Terms and don’t fix the breach within 14 days of you telling us about it.

14.3 We can end your participation at any time by written notice if you:

(a) breach these Terms and the breach can’t be fixed, or you don’t fix it within 14 days of us telling you about it;

(b) become bankrupt or insolvent, or have a liquidator or receiver appointed over your assets; or

(c) act in a way that, in our reasonable opinion, damages our brand or reputation.

14.4 We can also end your participation for convenience at any time, by giving you at least 90 days’ written notice.

14.5 We can discontinue the Program in its entirety by giving all App Partners at least 90 days’ written notice (or any shorter notice that’s reasonable in the circumstances, if we are unable to keep operating the Program for reasons outside our reasonable control). If we discontinue the Program under this clause, your participation ends at the end of the notice period.

14.6 When your participation ends, for any reason:

(a) we’ll stop providing your Partnership Benefits;

(b) you must immediately pay any Fees you owe us;

(c) you must uninstall and delete any software we gave you as part of the Program;

(d) you must return our property and any Program-related materials to us; and

(e) you must stop using the Program name, our logos and any branded material, and stop describing yourself as an App Partner.

14.7 When your participation ends, for any reason, you and we must each act reasonably and cooperate in good faith to minimise disruption to your shared Clients – for example, by giving reasonable transition information or assistance to help those Clients keep using your App Partner Solution or move to an alternative.

14.8 Clauses 4 (to the extent obligations arose before your participation ended), 9.3, 9.5, 10, 11, 12, 14.6, 16, 18 and 19 continue to apply after your participation ends.

15. Changes to these Terms

15.1 We may change these Terms (including the Fees) from time to time.

15.2 We’ll give you at least 30 days’ notice of any change to these Terms (including a change to your Fees), except where the change addresses a security, legal or safety issue outside our control, in which case we may act without advance notice.

15.3 If you keep participating in the Program after a change takes effect, you’re taken to accept the updated Terms.

15.4 If we increase your Fees, or make a change that materially and adversely affects your Partnership Benefits, you may end your participation for convenience by giving us written notice within 30 days after we notify you of that change. That right isn’t subject to the end-of-Partnership-Year window in clause 14.1. Any other change we make under this clause 15 doesn’t, by itself, give you a right to end your participation outside that window.

16. Disputes

16.1 Before starting legal proceedings about a dispute arising from these Terms, a party must first follow this clause.

16.2 If a dispute arises, the party raising it must notify the other in writing, and both parties must use their best efforts to resolve it.

16.3 If the parties can’t resolve the dispute within 30 days of that notice, either party may end the dispute resolution process by written notice, after which either party may pursue other remedies available to it.

17. Notices

17.1 You must send us all Program-related communications by email, unless we agree another method with you.

17.2 An email notice is treated as sent when it’s sent, and received when the recipient’s system receives it, unless the sender gets a delivery failure notification. If it’s sent or received after 5.00pm in the recipient’s time zone, it’s treated as received at 9.00am the next day.

17.3 We may send you Program-related notices by email, or by posting on the Program home page, the MYOB Community forum, or the MYOB blog. A posted notice is treated as received when we post it. We recommend you check these regularly.

18. Privacy

18.1 We collect, use and disclose your personal information to provide the Program and related services and support, respond to your enquiries or feedback, and promote products and services offered by us and our associated third parties. We may collect this information from you, from public sources such as social media, and from third parties who provide us with marketing leads.

18.2 We may share your personal information with our related companies and with third parties who perform outsourced functions for us. These parties may be located in Australia, New Zealand, India or other countries. If you don’t provide personal information we ask for, this may limit our ability to do business with you.

18.3 You consent to us collecting, using and disclosing your personal information as described in this clause 18.

18.4 If you’re registering in New Zealand: you can ask us not to use your information for marketing by contacting our Privacy Officer. See the MYOB Group Privacy Policy for New Zealand for details, email privacy_officer@myob.co.nz, or write to Privacy Officer, MYOB NZ Limited, c/- Quigg Partners, Level 7, 36 Brandon Street, Wellington 6011.

18.5 If you’re registering in Australia or another country: see the MYOB Group Privacy Policy at myob.com.au/privacy for how to update your marketing preferences, access or correct the personal information we hold about you, or make a privacy complaint. Email privacy_officer@myob.com.au, or write to Privacy Officer, MYOB Australia Pty Ltd, PO Box 371, Blackburn, Victoria 3130.

19. General

19.1 If you accept these Terms in Australia, they’re governed by the laws of Victoria, Australia, and any dispute is decided by the courts of that state. If you accept these Terms in New Zealand, they’re governed by New Zealand law, and any dispute is decided by the New Zealand courts.

19.2 These Terms are the entire agreement between you and us about the Program, and replace any earlier discussions, understandings or agreements between us about it.

19.3 If we don’t act on a right under these Terms, that doesn’t mean we’ve given it up.

19.4 If part of these Terms is void, unenforceable or illegal in a jurisdiction, that part doesn’t apply there, but the rest of these Terms continue to apply – unless that would change the fundamental deal between us, in which case we may end these Terms instead.

19.5 You can’t transfer these Terms, or any benefit under them, without our prior written consent. We can transfer these Terms, or our rights under them, to someone else at any time.

20. Early access to new features

20.1 We may invite you to get early access to a new API or feature before its general release (New Material). If you accept, this clause 20 (Early Access Terms) applies to that access, in addition to the rest of these Terms.

20.2 You agree to give us regular feedback on the New Material when we reasonably ask for it – for example, by phone, survey or email.

20.3 New Material is experimental and may fail or contain errors. Don’t use it alongside anything sensitive. We’re not liable for any loss or damage arising from a change to, or the failure or corruption of, any New Material.

20.4 Clause 11 (Confidentiality) applies to New Material and related information. If you deal with New Material in a way that breaches clause 11, we can end your early access immediately, and may recover any loss or damage your conduct causes us.

20.5 Your early access to New Material ends automatically when: the New Material is generally released; your participation in the Program ends; or we decide to end it and tell you, at our discretion.
